Senior Expert, Corporate Governance and Structure (40001065)

Job Purpose

The job holder will be responsible to:
- Build and adjust the structure, organization, functions, tasks, coordination among units in the bank in accordance with the strategy and business model
- Develop, adjust and supervise the implementation of strategies, policies, procedures and guidelines on governance in the bank.

Key Accountabilities (1)

1. Build and govern Bank wide and divisional functions allocation and organizational structure:
- Conduct researches and analysis on bank wide main functions and model to realize TCB business model
- Leverage strategic thinking và design thinking to embed functions design into structure design of the Bank
- Customize on purpose centralized/decentralized/hybrid functions, based on bank’ s strategy in each period
- Build, update design methodology and model to complete bank wide organizational structure và Divisions’ organizational structure
- Organize, support, guide, provide consultation và advisory for the establishment or amendment of Division’s structure và operating model, ensure that they i) align with Bank’s strategy và business model; ii) align with the Bank Corporate governance model; iii) capture new business opportunities; iv) optimize operating efficiency
- Provide advisory and facilitate Divisions to build cross-Divisions RACI model
- Control functions presented in JP of key positions (at least from level 2), provide advisory on expertise, knowledge, skillsets required for the position

Key Accountabilities (2)

2. Propose and govern Corporate governance model and authority delegation
- Research, build, update methodology, process and design principles and restructuring of Corporate governance
- Build and propose corporate governance targeted model, road map and key matters reserved for Board and Management layers
- Manage and monitor corporate governance model (Board và Management committee) and implementation plan in alignment with the Bank’s strategy

Key Accountabilities (3)

- Propose, support and monitor the establishment và amendments of Board committees (under BOD) and Management committees (under CEO), including: structure, composition, operating mechanism and outputs.
- Review and control the establishment and adjustment of any Committees or Council.

Success Profile - Qualification and Experiences

Domain expertise:
- Minimum 12 years of experience in banking and finance
- Understand of business restructuring/restructuring activities
- Understand of methodologies, practical models in business organizations (centralized/distributed, business partners, shared services, outsourced services)
- Ability to build calculation methods/models, measure operational efficiency (metrics to measure productivity)
- Experience working in corporate structure departments/projects at large organizations, or at large consulting firms – corporate structure/restructuring (preferably experience working for banks) / financial company)
- Experience in companies/projects related to improving business performance - preferably in the field of banking and finance
- Foreign language (English): minimum TOEIC 650 (or equivalent certificates)
Qualification:
- Graduated with a master's degree or higher, majoring in economics, finance, business. Preference will be given to candidates with master's/MBA degrees from foreign universities.
